Thriving oil and gas company that develops, constructs, and manages energy businesses throughout the United States.
Corporate Counsel Role:
The Corporate Counsel is responsible for supporting the company's legal and compliance initiatives to advance corporate objectives in energy asset development and supply across North America. This role will provide legal support for commercial and transactional matters across various business sectors, including power, future energy development, and natural gas liquefaction operations. Additionally, this position assists in ensuring compliance with applicable laws, regulations, and internal policies.
Transactional Legal Support
Review, draft, negotiate, interpret, and advise on various contracts, including Power-related agreements (plant operations, asset management, energy management), Interconnection, power sales, gas procurement, and transportation contracts, derivative contracts (ISDA), Financing contracts (credit agreements, tax equity arrangements).
Draft and revise standard legal documents for implementation across the organization.
Prepare ancillary agreements to support M&A activities (disclosure schedules, exclusivity agreements).
Provide guidance on general corporate contracts (consulting agreements, confidentiality agreements, partnership agreements).
Monitor and support dispute resolution processes when required.
Review communications involving contractual issues and provide legal analysis.
Prepare and review partner-related materials such as Board of Managers materials and written consents.
Advise on legal trends and regulatory developments impacting the business.
Provide support in document management, particularly contract lifecycle management software.
Collaborate with external counsel when appropriate, as approved by leadership.
Regulatory Compliance Support
Assist the Chief Compliance Officer and business teams in ensuring adherence to federal, state, and agency regulations (FERC, CFTC, NERC, EPA, ISOs).
Conduct legal research and draft materials for regulatory inquiries.
Support development and implementation of compliance programs, including training initiatives and internal policy development.
Assist in maintaining compliance calendars and ensuring timely filings and reports.
Ensure compliance with anti-bribery, anti-money laundering, and trade sanctions regulations.
Provide additional compliance support as required.
Corporate Counsel Background Profile:
2-4 years of legal experience in transactional matters including corporate and commercial contracts.
Licensed and in good standing to practice law in Texas or New York (other states considered on an exception basis).
Must have legal work experience as an attorney with a recognized U.S. law firm and/or in-house with an energy company in U.S. power involving natural gas procurement or electricity wholesale; renewables a plus.
Experience with and a sound understanding of the laws, rules, and regulations that apply to companies operating in the energy sector.
Experience with regulatory matters related to FERC, CFTC, NERC, EPA, and ISOs.
Preferred experience in legal disputes, including litigation, arbitration, or alternative dispute resolution.
Sound legal and compliance judgment and ability to work independently with minimal supervision
A team player that proactively collaborates with stakeholders across the company.
Ability to build trust and respect across the organization including corporate and business unit management.
Self-motivated, results-oriented, with the ability to be responsive and follow through on programs and plans.
Inquisitive nature to identify opportunities for improvement and help find solutions.
Proficient use of Microsoft Office programs, including Word, Excel, Outlook, and PowerPoint.
